Total Produce plc confirms that the Scheme Meeting and the Extraordinary General Meeting (together, the "Meetings") of the Company on 17 June 2021 will be conducted as closed meetings via a live webcast commencing at 11.00am in reliance on the provisions of the Companies (Miscellaneous Provisions) (Covid-19) Act 2020 (as extended by the Companies Act 2014 (Section 12A(1)) (Covid-19) Order 2021). It is necessary to conduct the Meetings in this way in order to comply with the requirements in S.I. No. 217/2021 - Health Act 1947 (Section 31A - Temporary Restrictions) (Covid-19) (No. 2) Regulations 2021 as amended by S.I. No. 267/2021 - Health Act 1947 (Section 31A - Temporary Restrictions) (Covid - 19) (No. 2) (Amendment) Regulations 2021.
As explained in the notices of the Meetings, shareholders are invited to participate in the Meetings via a live webcast which you can access by a link which was included in the Circular sent to shareholders on 19 May 2021 and which is available on the Company's website at: https://totalproduce.com/investors/dole-transaction-2021.
