Important AGM Attendance Covid Update

Introduction:

Arrangements for the 2020 Annual General Meeting
to be held at 10.30am on Friday, 28thAugust 2020

Total Produce plc today announces that due to the extension of the Irish Government’s Covid-19 restrictions, announced on 18th August 2020, in relation to public gatherings and to prioritise the health and safety of our shareholders, employees and other stakeholders, the Board is advising that the AGM will now be held as a closed meeting.  It will not be possible for shareholders to physically attend the AGM. Instead the Board is asking shareholders to submit the proxy form to ensure they can exercise their vote and be represented at the AGM without attending in person.

Proxy voting can be carried out in advance of the AGM by availing of one of the following options:

  • Electronically by accessing www.eproxyappointment.com
  • Returning the enclosed proxy form by post; or
  • Via the CREST System where shares are held in CREST

Proxies must be received no later than 10.30am Wednesday, 26th August 2020.

The meeting will be conducted as quickly and efficiently as is practicable dealing with the formal matters of the meeting.   It will be possible to listen to the proceedings of the AGM remotely by utilising a teleconference facility provided by the Company for this purpose. To register for the teleconference facility, and receive participant log-in details, please contact the Company Secretary at jdevine@totalproduce.com before 10.30am on Thursday, 27th August 2020. Shareholders will not be able to use this facility to vote, ask questions or table resolutions during the meeting.

All shareholders will be able to submit questions in advance of the AGM in writing, either by email to the Company Secretary, Jacinta Devine, jdevine@totalproduce.com or by post to the Company Secretary at the address shown below, to be received no later than 10.30am on Wednesday, 26th August 2020. All correspondence should include sufficient information to identify the shareholder on the Register of Members.  Questions submitted using these methods will be addressed by the Chairman at the AGM where possible.

All resolutions at the AGM will be put to a poll and the Company will publish the results of the poll relating to the resolutions tabled at the AGM later on the day of the meeting on the Company's website, www.totalproduce.com.
